Lisata axes 72% of workforce following failed merger with Kuva
Lisata Therapeutics is cutting 72% of its staff and suing Kuva after their planned merger fell through.
Lisata Therapeutics is a Basking Ridge, New Jersey-based clinical-stage pharmaceutical company developing certepetide (formerly LSTA1 / CEND-1), a cyclic peptide tumor-penetration enhancer designed to improve intratumoral drug delivery of co-administered anti-cancer therapies. Certepetide is in active clinical development across multiple solid-tumor indications including pancreatic, gastric, cholangiocarcinoma, and glioblastoma, with a Phase IIa double-blind placebo-controlled GBM trial (Protocol LSTA1-GBM-2A) gating a contingent value right in the company's pending merger with Kuva Labs. On March 6, 2026 Lisata entered into a definitive agreement to be acquired by Kuva Labs for $4.00 per share in cash plus a non-tradeable CVR worth up to $3.00 per share (total potential consideration $7.00 per share subject to clinical and regulatory milestones). The merger outside date was extended from July 17, 2026 to July 21, 2026, with closing expected in Q3 2026 subject to financing and trial milestones.
